01Acceptance of Terms
These Terms of Service govern your use of ij.agency and describe the general framework for engagements with I&J Agency. By using the website, submitting a form, or contacting us, you agree to these terms. If you do not agree, please do not use the website.
Paid work is always governed by a separate written agreement or proposal signed by both parties. Where that agreement conflicts with these terms, the signed agreement controls for that engagement.
02Client Engagements
These terms govern your use of this website. If you engage us for paid work — a website project or a recurring monthly service — that relationship is governed by our separate Client Terms of Service, together with your written proposal.
03Company Information
ij.agency is operated by IJ Agency, LLC, doing business as I&J Agency, a United States business currently based in Whiteland, Indiana. "We," "us," and "our" refer to I&J Agency; "you" refers to the visitor or client.
If our legal entity or state of organization changes, we will update this section and the "Last updated" date above.
04Website Usage
You may browse the website, submit inquiries, and use published resources for lawful business purposes. You agree not to:
- Interfere with, disrupt, or attempt to gain unauthorized access to the website or its systems

06Quotes & Estimates
Quotes and estimates are based on the information you provide at the time of the request. Unless stated otherwise, a written quote is valid for thirty (30) days.
Submitting a request creates no obligation for either party. Pricing may change if project requirements, scope, or the information provided changes materially before work begins.
07Client Responsibilities
Successful projects depend on timely participation. Clients agree to:
- Provide accurate business information, content, images, and brand assets
- Grant the access needed to perform the work, such as domain, hosting, analytics, and business profile access
- Review deliverables and provide consolidated feedback within agreed timeframes
- Confirm they hold the rights to any content or materials they supply
- Designate a primary point of contact authorized to approve work
Delays caused by pending client materials, access, or approvals may shift project timelines accordingly.
08Payments
Payment terms, amounts, and schedules are set out in your proposal or agreement. Unless stated otherwise:
- Project work requires a deposit before work begins
- Recurring services are billed in advance on a monthly cycle
- Invoices are due upon receipt unless a due date is specified
- Payments are processed by Stripe; we do not store card details
- Deposits and completed work are non-refundable, since capacity is reserved and labor has been performed
We may pause work or suspend services on past-due accounts after providing notice. Third-party costs such as domains, hosting, premium plugins, stock media, and advertising spend are billed at cost or paid directly by the client unless included in your agreement.
09Project Scope
The scope of each engagement — pages, features, revision rounds, and deliverables — is defined in writing before work begins. Work outside that scope is a change request and is quoted separately.
Either party may propose a scope change. No change takes effect until both parties agree in writing to the revised scope, timeline, and cost.
10Intellectual Property
Copyright
All content on ij.agency — including text, layouts, graphics, imagery, and code — is owned by I&J Agency or its licensors and is protected by United States copyright law. You may not reproduce, distribute, or create derivative works from it without written permission.
Trademarks
The I&J Agency name, logo, and brand elements are our trademarks. Third-party names and logos appearing on the website belong to their respective owners and are used for identification only; their appearance does not imply endorsement or affiliation.
Proprietary methods
Our internal processes, frameworks, templates, and tooling remain our property, including when used to produce client deliverables.
11Third-Party Services
Our work often depends on third-party platforms such as hosting providers, domain registrars, analytics tools, search engines, business listing platforms, and payment processors. These are controlled by their own providers and governed by their own terms. We are not responsible for outages, policy changes, pricing changes, or feature removals by third-party platforms, though we will work with you to adapt when they occur.

Search engines are independent third parties. Their ranking systems, algorithms, and policies change frequently and without notice, and no agency controls or has privileged access to them.
No guaranteed rankings
I&J Agency does not guarantee specific rankings, traffic volumes, lead counts, conversion rates, or revenue outcomes. Any figures, examples, or case studies presented on this website reflect past results for specific businesses and are not a promise of future performance.
What we do commit to is executing agreed work competently, following published search engine guidelines, and reporting results honestly. We do not use manipulative tactics that place client websites at risk. Results depend on many factors outside our control, including market competition, service area, pricing, seasonality, reputation, and how quickly clients act on our recommendations.
13Website Ownership
On full payment of all amounts due, the client owns the final custom design and content deliverables produced specifically for their project.
Ownership does not extend to our proprietary frameworks and internal tooling, to third-party components licensed to the client under their own terms, or to work in progress before payment is complete. Where a website is delivered on a platform or subscription we operate, continued availability depends on that subscription remaining active, as described in your agreement.
14Domain Ownership
Clients own their domain names. Whenever possible we recommend the client hold the domain registration in their own account, with access granted to us for configuration. If we register or manage a domain on a client's behalf, it remains the client's property and we will transfer it upon request once all outstanding amounts are paid.
15Limitation of Liability
The website and its content are provided "as is" without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that the website will be uninterrupted or error-free.
To the fullest extent permitted by law, I&J Agency is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption. Our total aggregate liability arising from an engagement will not exceed the amount you paid us for the services giving rise to the claim during the three (3) months preceding the claim.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
16Indemnification
You agree to indemnify and hold harmless I&J Agency and its owners, employees, and contractors from claims, damages, and reasonable expenses arising from content or materials you provide, your violation of these terms or applicable law, or your infringement of a third party's rights.
17Governing Law
These terms are governed by the laws of the State of Indiana and applicable United States federal law, without regard to conflict-of-law principles. If our state of organization or principal place of business changes, we will update this section and the "Last updated" date above.
18Dispute Resolution
If a dispute arises, both parties agree to first attempt to resolve it informally by contacting the other in writing and negotiating in good faith for at least thirty (30) days.
If the dispute is not resolved, it may be brought before the state or federal courts located in Indiana, and both parties consent to the jurisdiction of those courts. Nothing here prevents either party from seeking injunctive relief to protect intellectual property or confidential information, or from bringing a qualifying claim in small claims court.
19Severability
If any provision of these terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full force.
20Entire Agreement
These terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement regarding your use of this website. For paid engagements, your signed proposal or service agreement — together with these terms — constitutes the entire agreement between the parties and supersedes prior discussions on the same subject.
21Changes
We may update these terms as our services and legal requirements evolve. Changes take effect when posted, and the "Effective date" and "Last updated" fields above will reflect the revision. Continued use of the website after an update means you accept the revised terms. Changes to these website terms do not modify a signed client agreement.
