Client Terms of Service
The agreement that governs paid engagements with I&J Agency — website projects, recurring services, payment, ownership, timelines, and cancellation. If you are only browsing this website, our Website Terms of Use apply instead.

01The Agreement
These Client Terms of Service (the "Agreement") govern paid engagements between IJ Agency, LLC, doing business as I&J Agency ("we," "us," "our"), and the business that engages us ("Client," "you").
The Agreement takes effect when you accept a written proposal, sign an order form, or make an initial payment for any service. Where a signed proposal or statement of work conflicts with this Agreement, the signed document controls for that engagement only.
Use of this website itself is governed separately by our Website Terms of Use. Personal information is handled as described in our Privacy Policy.
02Eligibility
We work with businesses located in and operating within the United States. By entering into this Agreement, you confirm that you are authorized to bind your business, that the business is legally established, and that the information you provide to us is accurate.
03Services We Provide
Engagements fall into two categories: one-time website projects and recurring monthly services. Current packages are:
Website projects (one-time)
- IJ Launch — from $495. A focused, conversion-ready website foundation for a single-location service business.
- IJ Growth — from $1,495. An expanded multi-page site with service and service-area structure built for local search.
- IJ Bespoke — from $4,995. A custom-scoped build for larger or multi-location operations, quoted per project.
Recurring services (monthly, optional)
- Website Care — $49 per month. Hosting oversight, updates, monitoring, backups, and small content changes.
- SEO Growth — from $299 per month. Ongoing local SEO, content, Google Business Profile work, and reporting.
Recurring services are optional and never required to purchase a website project. Prices are starting prices; final pricing is confirmed in your written proposal before any work begins.
04Founder-Led Delivery
Work is delivered by I&J Agency directly. We may use standard software, hosting, and infrastructure providers to deliver the work, and we remain responsible to you for the result.
05Proposals and Scope
Every engagement begins with a written proposal describing deliverables, page count or service scope, timeline expectations, and price. Anything not listed in the proposal is out of scope.
Proposals are valid for 30 days unless stated otherwise. Requests that fall outside the agreed scope are quoted separately as a change order and are not started until you approve them in writing.
06Payment Terms
- Project work. Unless your proposal states otherwise, a deposit is due before work begins and the remaining balance is due before launch or final file delivery.
- Recurring services. Billed monthly in advance on the same date each month until cancelled.
- Method. Payments are processed by Stripe. Card details are entered directly with Stripe and are never stored on our systems.
- Late payment. Invoices unpaid more than 15 days past due may result in paused work or suspended services until the balance is settled.
- Taxes. Prices exclude any applicable sales or use tax, which is added where required by law.
07Refunds and Cancellation
- Project work. Deposits cover discovery, planning, and reserved production time and are non-refundable once work has begun. If you cancel mid-project, you are billed for work completed to that date and we deliver what has been produced.
- Recurring services. Cancel at any time with written notice before your next billing date. Service continues through the end of the paid month; we do not prorate partial months.
- Our right to end an engagement. We may end an engagement for non-payment, abusive conduct, or a request to publish unlawful, deceptive, or infringing content. In that case you are billed only for work completed.
08Timelines and Client Responsiveness
Timelines in a proposal are good-faith estimates that assume timely content, feedback, and approvals from you. Project schedules depend on both parties.
If we do not receive requested materials or feedback for 30 consecutive days, we may treat the project as inactive, invoice for work completed, and require a restart fee to re-enter the production schedule.
09Revisions and Approval
Each project includes the revision rounds stated in your proposal. Revisions cover refinement of agreed deliverables — not new pages, new features, or a change in creative direction after approval.
A deliverable is considered approved when you confirm it in writing or after 10 business days without written feedback.
10Client Responsibilities
- Provide accurate business information, contact details, and service areas
- Supply text, images, logos, and credentials you want used
- Confirm you hold the rights to any material you provide to us
- Designate one person authorized to approve work
- Maintain any accounts you own, such as domains and Google Business Profile
11Content You Provide
You retain ownership of the material you provide and grant us a license to use it for the purpose of delivering your engagement. You are responsible for ensuring that content you supply does not infringe third-party rights and is not false or misleading.
12Ownership of Deliverables
On full payment, you own the final website design, page content, and images produced specifically for you.
We retain ownership of our underlying methods, templates, component systems, internal tooling, and any third-party software or licensed assets used to build the site. Those are licensed to you for use with your website, not transferred.
13Domains, Hosting, and Accounts
You own your domain name. If we register or manage a domain on your behalf, it remains yours and we transfer control on request once your account is current.
Hosting and platform fees may be included in Website Care or billed separately, as stated in your proposal. If Website Care is cancelled, you are responsible for arranging hosting, updates, and monitoring; we can provide an export of your site files and content.
14SEO and Marketing Expectations
Search rankings, traffic, call volume, and lead volume are influenced by competition, search engine algorithms, market conditions, seasonality, your pricing, and your responsiveness to inquiries. Those factors are outside our control.
We do not guarantee specific rankings, a specific number of leads, or a specific revenue outcome, and we do not use tactics that violate search engine guidelines. We commit to the work described in your proposal and to reporting on it honestly.
15Portfolio and Reference Use
We may display completed work, your business name, and your logo in our portfolio, case studies, and marketing materials. If you prefer that we do not, tell us in writing and we will remove it.
16Confidentiality
Each party will protect non-public information shared by the other and use it only to perform this Agreement. This does not apply to information that is public, independently developed, or required to be disclosed by law.
17Warranty and Disclaimer
We perform services in a professional and workmanlike manner. Beyond that, deliverables are provided "as is" and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and uninterrupted or error-free operation of any website, third-party platform, or search engine.
18Limitation of Liability
To the fullest extent permitted by law, our total liability arising out of or relating to this Agreement will not exceed the amount you paid us for the specific service giving rise to the claim during the three months before the claim arose. Neither party is liable for indirect, incidental, special, or consequential damages, including lost profits or lost data.
19Indemnification
You agree to indemnify and hold us harmless from claims arising out of content you provide, products or services you sell, your use of the deliverables after handoff, or your violation of law or third-party rights.
20Governing Law and Disputes
This Agreement is governed by the laws of the State of Indiana, without regard to conflict-of-law rules.
Before filing any claim, both parties agree to attempt to resolve the dispute in good faith by email or phone for at least 30 days. Any unresolved dispute will be brought exclusively in the state or federal courts located in Johnson County, Indiana, and both parties consent to that jurisdiction.
21Termination and Survival
Either party may end an engagement with written notice to the other. For recurring services, notice takes effect at the end of the current paid month. For project work, notice takes effect immediately and we stop production at that point.
On termination: any invoice for work completed becomes due; ownership of deliverables transfers only for work that has been paid in full; we return or make available the materials you supplied; and access to accounts we manage on your behalf is handed over once the balance is settled.
Sections covering payment obligations, ownership, confidentiality, warranty disclaimers, limitation of liability, indemnification, and governing law survive the end of an engagement.
22General Terms
- Assignment. Neither party may assign this Agreement without the other's written consent, except in a merger or sale of substantially all assets.
- Force majeure. Neither party is liable for delays caused by events beyond reasonable control.
- Severability. If a provision is unenforceable, the rest remains in effect.
- No waiver. Not enforcing a provision once does not waive it later.
- Entire agreement. This Agreement plus your written proposal is the complete agreement between us on its subject matter.
- Changes. We may update this Agreement for future engagements. Changes do not alter the terms of an engagement already underway unless both parties agree in writing.
